About the role
Stanwell is seeking an experienced and dynamic Company Secretary. This is a full time opportunity located in Brisbane CBD.
At Stanwell, the Company Secretary is the pivotal liaison point between the organisation, management, and the Board, ensuring the highest standards of corporate governance across Stanwell and its subsidiaries.
This is a rare opportunity to shape the governance of a major Queensland organisation, working at the heart of strategic decision-making and organisational leadership.
The Company Secretary will play a critical role in guiding Stanwell through a period of transition, as the organisation welcomes several new board members and adapts its strategic direction. This position demands a high level of expertise in managing complex governance across multiple entities, ensuring that board and committee documentation is accurate and compliant.
The successful candidate will be instrumental in elevating governance throughout the business, embedding these functions into daily operations and decision-making. Navigating the nuances of Board interactions, supporting the development of a robust governance framework, and liaising with diverse stakeholders are all essential aspects of this role, requiring both strategic insight and meticulous attention to detail.
Key activities include:
- act as principal liaison between the Board, management, and external stakeholders;
- manage Board and Executive Leadership Team meetings, minutes, actions, and governance for all companies (including subsidiaries and joint ventures);
- provide strategic input into Stanwell’s direction;
- act as Stanwell’s whistle blower protection officer; and
- provide administrative leadership for the Internal Audit function.
About you
- Significant experience as a Company Secretary or in a governance/legal role, ideally within the power or energy sector.
- Legal and Commerce qualifications are desirable. CSA (Chartered Secretary Australia) or equivalent governance qualifications are highly regarded.
- Deep understanding of the Corporations Act and experience managing complex governance requirements.
- Proven ability to engage at Board level and manage high-level stakeholder relationships.
- Strong leadership, communication, and strategic planning skills.
